Terms of Service

These Terms of Service ("Terms") are a legal agreement between Ayok IT Solutions Limited (trading as PilotVantage) ("PilotVantage", "we", "us") and the organisation or person that registers for or uses the PilotVantage platform ("you", "Customer"). By creating an account or using the service you agree to these Terms.

1. The service

PilotVantage is a cloud-based (SaaS) governance, risk and compliance platform that helps organisations manage information security risks, controls, policies, incidents, audits, vendors, evidence and related records, including support for frameworks such as ISO 27001. We grant you a non-exclusive, non-transferable right to access and use the service for your internal business purposes during your subscription, subject to these Terms.

2. Accounts & eligibility

• You must be at least 18 and able to enter into a contract. If you register on behalf of an organisation, you confirm you are authorised to bind it to these Terms.
• You are responsible for your account, your users, and keeping login credentials secure. We strongly recommend enabling two-factor authentication (enforced by default on administrator and platform accounts).
• You are responsible for all activity under your account and for your users' compliance with these Terms.

3. Plans, trials & billing

• Free plan. We offer a free tier with limited usage, provided "as is" and subject to change.
• Paid plans & trials. Paid plans are billed in advance monthly or annually via our payment processor, Stripe. Free trials convert to a paid subscription only if you choose to subscribe; we will not charge a card without your action.
• Renewals. Subscriptions renew automatically for the same period unless cancelled before the renewal date. You can cancel at any time from billing settings; access continues until the end of the paid period.
• Price changes. We may change prices with at least 30 days' notice, effective from your next renewal.
• Taxes. Fees are exclusive of VAT and other applicable taxes, which will be added where required.
• Refunds. Except where required by law, fees are non-refundable, including for partial periods.

4. Acceptable use

You agree not to: (a) break the law or infringe others' rights; (b) upload malware or attempt to gain unauthorised access to the service or other tenants' data; (c) probe, scan or test the vulnerability of the service without our written permission; (d) reverse engineer, resell or provide the service to third parties except as permitted; (e) use the service to store or transmit content that is unlawful, or exceed the limits of your plan; or (f) interfere with the integrity or performance of the service.

5. Your data

You retain all rights to the data you and your users enter into the platform ("Customer Data"). You grant us a limited licence to host, process and display Customer Data solely to provide and support the service. We process personal data within Customer Data as your processor under our Data Processing Agreement, which forms part of these Terms. You are responsible for the accuracy and lawfulness of Customer Data and for having the necessary rights and consents.

6. Intellectual property

The platform, its software, design, content templates and trademarks are owned by Ayok IT Solutions Limited (trading as PilotVantage) or its licensors. Except for the access rights granted here, no rights are transferred to you. Feedback you provide may be used by us without restriction.

7. Availability & support

We aim to keep the service available and reliable but do not guarantee uninterrupted access. We may perform maintenance (usually with notice for planned work). Support is provided by email at support@pilotvantage.com; response times vary by plan. Any specific service-level commitments apply only where separately agreed in writing (e.g. Enterprise).

9. Warranties

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Limitation of liability

To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special or consequential loss, or loss of profits, revenue, goodwill or data; and (b) our total aggregate liability arising out of or related to these Terms will not exceed the fees you paid to us in the 12 months before the event giving rise to the claim (or £100 if you are on the free plan). Nothing limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be limited.

11. Term & termination

• These Terms apply for as long as you use the service.
• You may terminate by cancelling your subscription and closing your account.
• We may suspend or terminate access if you materially breach these Terms (including non-payment) and, where the breach is capable of remedy, fail to remedy it within a reasonable period after notice.
• On termination, your right to use the service ends. You may export your data before termination; after the retention period described in our Privacy Policy and DPA, we will delete or anonymise it.

12. Changes to these Terms

We may update these Terms from time to time. We'll post the updated version here and, for material changes, notify account administrators. Continued use after changes take effect constitutes acceptance.

13. Governing law & jurisdiction

These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction over any dispute, subject to any mandatory consumer protections.
